What is your intent on making this move. Are you looking to get younger and re-build? Or are you just making some moves.
Either way I don't like that trade, none of the players that you are being offered are going to help you any way you decide to go with this team.

The prospects you are being offered AREN'T prospects. You may want to get young and shake things up, but that's no reason to take less than fair value for your players.
The only thing you're being offered that is of any value is the #1 pick. (Playoff team's #2 picks are pretty much useless.)
Take a look at his minors, see who he has CP on. If he's not willing to offer you those guys, then he's not serious about acquiring your good veterans.
