This year's draft class is great. I can probably get an 18 yr. old B/B- starter or an 18 yr. old C-/A- reliever with his pick. (where are the draft classes by league again?)
Next year though, my team will probably not be very good, so my pick could be very high.
Also, Frias is my SP mentor and I already have too much youth to develop as it is.

simmons will likely stick around another year and he's a better mentor than frias. even if he doesn't you can usually pick up solid mentors for 2nd round picks. looking at your roster i don't see you drowning in minor league propsects to the extent that you suggest. valle and mayssey are both os 22 next year, and could play in the majors to make room for new prospects if they needed to. i'm not a fan of vance at all and the same goes for his 3rd and 4th. to me this comes down to frias and your 1st next year for his 1st this year. as much as i love to aquire either of the guys you describe, i don't think it's worth a solid vet mentor and a top 5 pick to get a shot at them.
i'm assuming that he either thinks frias can help him compete next year after some OS improvements to his roster or that your pick is going to be #1 next year. if there's a chance you will have #1 then this is a straight decline. if you think he wants frias to compete next season, offer him frias and your 2nd or frias and stoddard for his 1st instead.

Thanks for the advice. He withdrew the offer. Never offered an explanation. I'll consider countering, but it's hard to tell. I've got another pitcher on another team with cp's, so my minors are what they are + an OS 21 B/B- starter. Anyway, thanks, I really appreciate it.
